Terms of Service — FileOracle

1. Agreement

By creating an account or using FileOracle (the "Service"), you agree to these Terms of Service ("Terms") with OBXServicePro LLC, a North Carolina LLC ("we," "us," or "our"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. The Service

FileOracle lets you upload business documents and ask questions about their contents using AI. The Service is provided "as is" for lawful business purposes. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Your Account

You must be at least 18 years old to create an account.
You are responsible for maintaining the security of your login credentials.
You are responsible for all activity that occurs under your account.
You must provide accurate information when registering and keep it up to date.
One account per person or business entity unless otherwise agreed in writing.

4. Acceptable Use

You agree not to use the Service to:

Upload content that infringes any third party's intellectual property rights.
Upload or process any content that is illegal, defamatory, or violates any applicable law.
Attempt to reverse engineer, scrape, or extract the Service's underlying models or infrastructure.
Use the Service to train competing AI models or services.
Circumvent plan limits or access controls through automated means.
Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Your Content

You retain full ownership of the documents you upload and the questions you ask. By uploading content, you grant us a limited, non-exclusive license to process and store that content solely to provide the Service to you. We do not claim ownership of your documents and do not use them to train AI models. You are responsible for ensuring you have the right to upload any document you submit.

6. AI-Generated Answers

FileOracle uses AI to generate answers based on the text in your uploaded documents. AI answers may be inaccurate, incomplete, or out of date. You should not rely on AI-generated answers as legal, financial, medical, or professional advice without independent verification. We are not responsible for decisions made based on AI output.

7. Subscriptions and Billing

Free plan. Free accounts are subject to document and query limits as displayed in the application. We may change free plan limits with 30 days' notice.
Paid plans. Paid subscriptions are billed monthly in advance via Stripe. All fees are in USD. Prices are listed on the pricing page.
Auto-renewal. Subscriptions renew automatically each month until you cancel. You can cancel at any time through the billing portal accessible from within the app.
Cancellation. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not provide prorated refunds for partial months.
Refunds. If you experience a technical failure that prevented use of the Service for a significant portion of a billing period, contact us and we will evaluate a credit or refund at our discretion.
Price changes. We will give at least 30 days' notice before increasing subscription prices. Your continued use after the effective date constitutes acceptance.

8. Intellectual Property

The FileOracle name, logo, product design, and software are owned by OBXServicePro LLC and are protected by applicable intellectual property law. These Terms do not grant you any rights to our trademarks or proprietary technology beyond what is necessary to use the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED ANSWERS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OBXSERVICEPRO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OBXServicePro LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time if you violate these Terms or if continued operation poses a legal, security, or reputational risk. You may terminate your account at any time by canceling your subscription and emailing us to request data deletion. Sections 5, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration in Dare County, North Carolina under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
